Ecosum Terms of Service

Effective date: August 10, 2026 · Version 1.0

These Terms of Service ("Terms") are a binding agreement between Ecosum LLC, a North Carolina limited liability company with offices at 213 Barton Creek Dr, Apt B, Charlotte, NC 28262 ("Ecosum," "we," "us"), and the organization or person that creates an account or uses the Service ("Customer," "you"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind it.

1. The Service

Ecosum provides a software-as-a-service platform (the "Service") that ingests building energy and utility data — supplied by you, retrieved from ENERGY STAR Portfolio Manager or utility data-sharing programs with your authorization, or drawn from public datasets — computes building greenhouse-gas emissions relative to the limits of NYC Local Law 97 and its implementing rules, and generates compliance dashboards, reports, and filing-support documents.

The Service is a software tool. It is not engineering, architectural, legal, tax, or financial advice, and Ecosum is not a design professional. Where a filing requires certification by a Registered Design Professional ("RDP"), that certification is performed by an independent licensed professional exercising their own judgment, under their own credentials. An RDP may decline to certify any package. Ecosum does not practice engineering and does not certify filings.

2. Accounts and Security

You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials, for all activity under your account, and for managing your organization's member roles and permissions. Notify us promptly at umesh@ecosum.io of any suspected unauthorized access.

3. Fees and Payment

Paid plans are priced per building per year, and certain deliverables carry per-report fees, as published at the time of purchase. Payments are processed by Stripe; Ecosum does not store your card details. Fees are exclusive of taxes, which you are responsible for. Except where required by law or expressly stated otherwise, fees are non-refundable. We may change pricing with notice; changes apply at your next renewal. Nonpayment may result in suspension of paid features after notice.

4. Your Data

You own your data. Building information, utility and energy data, uploaded documents, and generated reports for your buildings are yours. You grant Ecosum a license to host, process, and display that data solely to provide and support the Service, including generating reports you request.

By connecting a data source (for example, sharing a Portfolio Manager property with Ecosum's account, or authorizing a utility data-sharing program), you represent that you are authorized to grant that access, and you authorize Ecosum to retrieve the associated data on your behalf until you revoke the connection. You are responsible for the accuracy and completeness of data you provide or authorize; the Service's outputs depend on it.

If you direct us to share a filing package with an RDP for review and certification, or to support a submission to the NYC Department of Buildings, you authorize the disclosures reasonably necessary to do so.

5. Compliance Outputs — Important Disclaimers

  • Emissions figures, limit calculations, and penalty estimates are computed from the data available to the Service and the rules as codified in the Service at the time of generation. Penalty figures are estimates of maximum exposure before credits, adjustments, deductions, and mitigation that may be available, and are not a determination of liability. Only the NYC Department of Buildings determines actual compliance and penalties.
  • You remain responsible for your buildings' regulatory obligations, filings, and deadlines. The Service provides reminders and support tools, but a missed deadline is not Ecosum's liability.
  • Laws and rules change. We work to keep the Service current with adopted rules, but we do not warrant that outputs reflect rule changes before we implement them.

6. Acceptable Use

You will not: use the Service to violate law; attempt to access other customers' data; probe, disrupt, or overload the Service; reverse engineer it except as permitted by law; resell or white-label it without our written agreement; or upload content that infringes others' rights or contains malicious code.

7. Intellectual Property

Ecosum owns the Service, its software, and all associated intellectual property. Reports and workbooks generated for your buildings are yours to use for your business purposes. Feedback you provide may be used without obligation.

8. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only as needed under these Terms. Ecosum's handling of utility customer data is additionally governed by our commitments under utility data-security agreements and our Privacy Policy.

9. Term, Suspension, and Termination

These Terms apply while you use the Service. You may cancel at any time; paid periods run to their end. We may suspend or terminate accounts for material breach after notice (immediately for security threats or unlawful use). After termination, you have thirty (30) days to export your data through the Service's export tools; thereafter we may delete it, subject to backup cycles and legal retention duties described in the Privacy Policy.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECOSUM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES; AND (b) ECOSUM'S TOTAL LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE FEES YOU PAID TO ECOSUM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO A PARTY'S FRAUD OR WILLFUL MISCONDUCT, OR TO YOUR PAYMENT OBLIGATIONS.

12. Indemnification

You will defend and indemnify Ecosum against third-party claims arising from your data, your breach of Section 4's authorization representations, or your unlawful use of the Service. Ecosum will defend and indemnify you against third-party claims that the Service itself infringes their intellectual property.

13. General

These Terms are governed by the laws of the State of North Carolina, without regard to conflicts rules; exclusive venue lies in the state and federal courts located in Mecklenburg County, North Carolina. We may update these Terms; material changes will be notified through the Service or by email at least fourteen (14) days before taking effect, and continued use constitutes acceptance. Neither party is liable for delays caused by events beyond reasonable control. You may not assign these Terms without our consent (not to be unreasonably withheld); we may assign to a successor of the business. If a provision is unenforceable, the remainder stands. These Terms plus the Privacy Policy and any executed order form are the entire agreement.
